1. Acceptance of Terms
Welcome to SkillQuest. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Metex Enterprises Inc. ("SkillQuest," "we," "us," or "our"), a New Jersey corporation, governing your access to and use of the SkillQuest platform, including the website, mobile applications, APIs, and all related services (collectively, the "Platform"). By creating an account, accessing the Platform, or participating in any contest, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Official Contest Rules, and our Privacy Policy, each of which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease using the Platform and close your account.
2. Eligibility
The Platform is available only to natural persons who are at least eighteen (18) years of age and legal residents of the United States. Participation in paid-entry contests is restricted to users who are physically located in an eligible state at the time of entry. Residents of and persons located in the following states are excluded from paid-entry contests: Arizona (AZ), Arkansas (AR), Connecticut (CT), Delaware (DE), Louisiana (LA), Montana (MT), South Carolina (SC), South Dakota (SD), and Tennessee (TN). By using the Platform, you represent and warrant that you meet all eligibility requirements set forth herein. SkillQuest reserves the right to verify your identity, age, and location at any time. Failure to meet eligibility requirements may result in account suspension, forfeiture of prizes, and/or refusal to process withdrawals.
3. Account Registration
To access certain features of the Platform, including the ability to enter contests and manage a wallet, you must register for an account. During registration, you agree to provide accurate, current, and complete information, including your legal name, email address, date of birth, and state of residence. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify SkillQuest immediately of any unauthorized use of your account or any other security breach. Each individual is permitted to register and maintain only one (1) account. The creation of multiple accounts by a single person is a violation of these Terms and will result in immediate termination of all associated accounts and forfeiture of any prizes or wallet balances. SkillQuest reserves the right to refuse registration, suspend, or terminate any account at its sole discretion for any reason, including but not limited to suspected fraud, abuse, or violation of these Terms.
4. Wallet and Deposits
The Platform provides each registered user with a digital wallet ("Wallet") for the purpose of paying contest entry fees and receiving prize credits. You may deposit funds into your Wallet using approved payment methods, which currently include US debit cards (Visa and Mastercard). All deposits are processed in United States dollars. The minimum deposit amount is $5.00 and the maximum deposit amount is $500.00 per transaction. Your Wallet balance represents funds held by SkillQuest on your behalf and does not accrue interest. Wallet funds are not insured by the Federal Deposit Insurance Corporation (FDIC) or any other government agency. SkillQuest is not a bank and does not provide banking services. You acknowledge that deposited funds may be used to pay contest entry fees, which are non-refundable once a contest has begun. SkillQuest reserves the right to limit, suspend, or decline deposit transactions for compliance, fraud prevention, or risk management purposes.
5. Contests and Prizes
All contests on the Platform are contests of skill. Contest outcomes are determined solely by the participant's knowledge, speed, and accuracy. No element of chance, randomness, or random selection is involved in determining winners. Detailed contest rules, including scoring formulas, tiebreaker procedures, and prize structures, are set forth in the Official Contest Rules. Entry fees range from $3.00 to $25.00. SkillQuest retains a platform fee (currently 30%) from collected entry fees as operating revenue. The remaining 70% of collected entry fees forms the dynamic prize pool, which is distributed among the top three (3) finishers: 50% to first place, 30% to second place, and 20% to third place. The estimated prize pool is displayed on each contest listing and grows as additional participants enter. Each contest has an entry window with a published deadline. A minimum of ten (10) participants is required for a contest to proceed; if fewer than ten participants enter by the deadline, the contest is automatically cancelled and all entry fees are refunded in full to participants' Wallets. Final prize amounts are calculated and credited to winners' Wallets after the entry window closes and results are finalized. By entering a contest, you agree to be bound by the Official Contest Rules applicable to that contest.
6. Withdrawals
You may withdraw available funds from your Wallet to a verified US debit card (Visa or Mastercard) using the Platform's push-to-debit withdrawal system. The minimum withdrawal amount is $10.00 per transaction and the maximum withdrawal amount is $350.00 per transaction. There are currently no processing fees charged on withdrawals. Withdrawals are typically processed within minutes via push-to-debit technology, though actual delivery times depend on your card issuer. SkillQuest reserves the right to require identity verification (including government-issued photo identification and proof of address) before processing any withdrawal. SkillQuest may delay or decline withdrawal requests if there is a reasonable suspicion of fraud, money laundering, or violation of these Terms. SkillQuest is not responsible for delays caused by third-party payment processors or your financial institution.
7. Prohibited Conduct
You agree not to engage in any of the following prohibited activities while using the Platform:
- Bots and Automation: Using bots, scripts, macros, browser extensions, automated tools, or any software to interact with the Platform, answer questions, or gain an unfair advantage in any contest.
- Multiple Accounts: Creating, operating, or controlling more than one account, whether directly or through a third party, proxy, or alias.
- Collusion: Collaborating, coordinating, or communicating with other participants during a live contest for the purpose of sharing answers, strategies, or any information that would affect contest outcomes.
- Cheating: Using external resources, reference materials, search engines, AI-powered assistants, or any aid not provided by the Platform during a contest. Exploiting bugs, glitches, or vulnerabilities in the Platform's software or systems.
- Fraud: Providing false or misleading information during registration, identity verification, or payment processing. Using stolen or unauthorized payment methods to fund your Wallet.
- Interference: Attempting to disrupt, overload, or interfere with the Platform's servers, networks, security systems, or other users' access to the Platform.
- Circumvention: Attempting to bypass geographic restrictions, age verification, identity verification, or any other control mechanism implemented by the Platform.
Violation of this section will result in immediate account termination, forfeiture of all Wallet balances and prizes, and may subject you to civil or criminal liability. SkillQuest reserves the right to report suspected illegal activity to the appropriate law enforcement authorities.
8. Intellectual Property
All content, materials, software, designs, logos, trademarks, service marks, trade names, and other intellectual property associated with the Platform (collectively, "SkillQuest IP") are the exclusive property of Metex Enterprises Inc. or its licensors and are protected by United States and international intellectual property laws. Your use of the Platform does not grant you any ownership interest in or license to any SkillQuest IP, except for the limited, non-exclusive, non-transferable, revocable right to access and use the Platform in accordance with these Terms. You may not copy, reproduce, distribute, modify, reverse engineer, decompile, disassemble, or create derivative works from any SkillQuest IP without the prior written consent of SkillQuest. Any unauthorized use of SkillQuest IP may result in termination of your access and legal action.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKILLQUEST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SKILLQUEST DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SKILLQUEST DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE. YOU USE THE PLATFORM AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SKILLQUEST OR THROUGH THE PLATFORM, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKILLQUEST, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR SUBSIDIARIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR ACCOUNT OR CONTENT. IN NO EVENT SHALL SKILLQUEST'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (I) THE TOTAL AMOUNT OF ENTRY FEES PAID BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100.00). THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF SKILLQUEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless SkillQuest, its officers, directors, employees, agents, affiliates, subsidiaries, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of these Terms or any applicable law or regulation; (c) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; (d) any content you submit or transmit through the Platform; or (e) any fraudulent, abusive, or illegal activity by you or anyone using your account. This indemnification obligation shall survive the termination of your account and these Terms.
12. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and SkillQuest agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any contest, or any aspect of the relationship between you and SkillQuest (collectively, "Disputes") shall be resolved through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if they qualify. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in Bergen County, New Jersey, or at another mutually agreed location, before a single arbitrator. The arbitrator shall apply New Jersey law consistent with the Federal Arbitration Act. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER: YOU AND SKILLQUEST AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. To the extent any claim or dispute is not subject to arbitration as set forth in Section 12, you consent to the exclusive jurisdiction of the state and federal courts located in Bergen County, New Jersey, and waive any objection to such venue on the grounds of inconvenient forum or otherwise.
14. Modification of Terms
SkillQuest reserves the right to modify, amend, or update these Terms at any time, in its sole discretion. Any changes will be posted on this page with an updated "Last Updated" date. We may, but are not obligated to, notify you of material changes via email or an in-platform notification. Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of such changes. If you do not agree with the modified Terms, you must stop using the Platform and close your account. It is your responsibility to review these Terms periodically for changes.
15. Termination
You may terminate your account at any time by contacting SkillQuest support at support@skillquest.online. Upon account termination, any remaining Wallet balance (net of any pending contest entries) may be withdrawn in accordance with Section 6, subject to identity verification. SkillQuest may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: (a) violation of these Terms or the Official Contest Rules; (b) suspected fraud, abuse, or illegal activity; (c) failure to provide requested identity verification; (d) inactivity for an extended period as determined by SkillQuest; or (e) at SkillQuest's sole discretion. Upon termination by SkillQuest for cause (violation of Terms, fraud, etc.), you may forfeit any remaining Wallet balance and all accrued prizes. The following sections shall survive termination: Sections 7 (Prohibited Conduct), 8 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 12 (Dispute Resolution), 13 (Governing Law), and 17 (Severability). Section 16 (Third-Party Services) and Section 18 (Entire Agreement) shall also survive termination.
16. Third-Party Services
The Platform integrates with third-party services to facilitate certain functions, including but not limited to payment processing (deposits and push-to-debit withdrawals), identity verification, IP-based geolocation, email delivery, cloud hosting, and analytics. These third-party service providers operate under their own terms of service and privacy policies, which you should review independently. SkillQuest is not responsible for the privacy practices, security, or content of any third-party service. SkillQuest does not endorse or guarantee the reliability, accuracy, or availability of any third-party service. In the event a third-party service experiences downtime, errors, or security incidents, SkillQuest shall not be held liable for any resulting impact on your use of the Platform, including but not limited to delays in deposit processing, withdrawal delivery, or contest operations. Your use of third-party services through the Platform is at your own risk.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or an arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
18. Entire Agreement
These Terms of Service, together with the Official Contest Rules and the Privacy Policy, constitute the entire agreement between you and SkillQuest regarding your use of the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and SkillQuest with respect to the Platform. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and SkillQuest's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
